Santosh Matthews is the Managing Director of 3L Corporate Services. He comes with more than 32 years of experience in the legal and corporate functions across a wide array of markets, including the United Arab Emirates. He started his career as an advocate (civil & criminal law) in India and excelled in this role for 18 years before he decided to move overseas.

 

After leaving India, he handled a number of roles across a wide range of organizations in UAE. To elucidate:

​

  • He worked with one of the major legal houses in Sharjah, UAE i.e. Al Hammadi Advocates and Legal Consultants as an associate lawyer. In this role, he was coordinating the legal needs for clients of the agency. 

  • He was the legal advisor for Geneva Foundation, one of the leading financial houses in Dubai.

  • He was also heading the legal function of Al Ahad Group, one of the leading business conglomerates in UAE with interests spanning, minerals, restaurants, mining and construction.

  • He was heading the legal, human resources and administrative function for Country Club across their properties in UK, Malaysia, UAE, Kenya and Sri Lanka.

His experience across these roles has given him a good understanding of the business scenario in UAE, especially the legal requirements and challenges that businesses face across various stages of their evolution, right from the time they start business to the time that they may either amalgamate or wind up operations. This includes:

  • Advising on corporate and commercial matters for maximizing & easing global business prospects of clients

  • Protecting the business operations of clients with the necessary legal cover

  • Liaising with government entities for licenses as required by clients

  • Advising on contractual agreements to limit risk and liability viz.

    • Commercial property lease

    • Joint venture

    • Asset sale thereby limiting risk and liability

  • Drafting a range of legal, corporate and commercial agreements & contracts viz. 

    • Memorandum and Articles of Association

    • Memorandum of Understanding (MOU)

    • Business Management agreements

    • Joint Venture agreements

    • Shareholder agreements, 

    • Employment contracts

    • Franchisee agreements

    • Commercial leases

  • Preparation of legal notices to ensure protection of commercial interests of clients

  • Representing clients at Consumer Forum at the Department of Economic Development in Dubai and Abu Dhabi

  • Drafted and filed with the Department of Economic Development, all corporate documents required for formation of Limited Liability Company

  • Liaising and coordinating with lawyers, pertaining to formation of Companies etc. outside GCC countries

  • Guiding staff in assessment of legal risk management activities and trained staff in legal procedures

  • Ensuring that staff followed legal procedures and standards and continue to do so with each case

  • Representing clients in various courts including the labor courts regarding resolution of labor complaints.
